These Terms of Service (“Terms”) govern your access to and use of the Convoup platform and services (“Service”) provided by UpGreat World Pvt Ltd. (“Convoup”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account or using the Service, you confirm that you are at least 18 years old and authorised to bind the entity you represent to these Terms. If you do not agree, do not use the Service.
Convoup provides a WhatsApp Business operations platform including a programmable API, real-time team inbox, CRM, campaign engine, automation engine, and compliance layer built on the official Meta WhatsApp Cloud API.
We do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features at any time with reasonable notice.
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must notify us immediately if you suspect unauthorised access to your account.

The Service is offered on a subscription basis as described on our pricing page. Fees are exclusive of applicable taxes.
All subscription fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.
Refund policy: If you cancel your subscription within the first 14 days of a new subscription, you may request a full refund. After 14 days, no refunds are provided for partial billing periods. If we suspend or terminate your account for breach of these Terms, no refund is due. If we discontinue the Service, we will provide a pro-rata refund for any unused portion of your current billing period. See our full refund policy for details.
Failure to pay may result in suspension or termination of your account.
Our collection and use of personal data is described in our Privacy Policy. You retain ownership of data you bring into the Service; we process it solely to provide the Service to you.
Upon termination of your account, we will delete your data within 30 days except where we are required to retain certain data for legal, tax, or compliance purposes (see Section 10).
The Service and its original content, features, and functionality are owned by UpGreat World Pvt Ltd. and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission.
You retain ownership of all content you submit to the Service (“User Content”). By submitting User Content, you grant us a limited licence to use, store, and display that content solely to provide and improve the Service. You must have the necessary rights to any User Content you upload.
We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.
Support is provided via the channels described in our contact page. We aim to respond to support queries within 1 business day.
To the maximum extent permitted by law, UpGreat World Pvt Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Our total liability to you for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. These limits do not apply to liabilities that cannot be limited by law, such as gross negligence or intentional misconduct.
You may stop using the Service and close your account at any time by contacting us or using the account settings.
We may suspend or terminate your account and access to the Service if:
If your account is terminated for breach, you may lose access to your data immediately. We will attempt to notify you unless there is a legal or security reason not to.
Upon termination, your right to use the Service ceases. We will retain and delete your data in accordance with our Privacy Policy.
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. If you continue to use the Service after the changes take effect, you agree to the updated Terms.
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.
